\u00a0as the managing company of Kamienna G\u00f3ra Special Economic Zone for Medium Business (Kamiennog\u00f3rska Specjalna Strefa Ekonomiczna Ma\u0142ej Przedsi\u0119biorczo\u015bci) and acting on the order of the Town Luba\u0144<\/p>\n

on the basis of the Decree of the Minister of Economy and Labour dated November 15th 2004 (Journal of Laws No. 254, item 2539) regarding tenders and negotiations as well as the intentions\u2019 evaluation criteria concerning business activities to be taken by entrepreneurs within the area of the Kamienna G\u00f3ra Special Economic Zone for Medium Business, on the basis of the Decree of the Minister of Economy dated July 2nd 2009 on entrusting the SSEMP S.A with granting permits for on economic activity and executing\u00a0 supervision over business activities\u00a0 in the Kamienna G\u00f3ra Special Economic Zone<\/p>\n

announces an INVITATION TO JOINT TENDER<\/strong><\/p>\n

in order to select an entrepreneur who will obtain a permit to conduct business within the area of Special Economic Zone for Medium Business entitling to receive public assistance (\u201cPermit<\/em><\/strong>\u201d<\/em>)<\/strong> and shall obtain the ownership rights to the property described below in\u00a0 point 2 where the business activities will be conducted (Property)<\/p>\n

  1. 1.\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 <\/strong>The tender is solely opened to the entrepreneurs who intend to conduct their business activities within Kamienna Gora Economic Zone for Medium Business based on the Permit, fulfilling requirements laid by the law dated 20 October 1994 regarding special economic zones (consolidated text of 2007 published in the Journal of Laws No 42, position 274), by the ordinance of the Council of Ministers dated 15. December 2008 regarding Kamienna Gora special economic zone (Journal of Laws No 211, position 1555 with further amendments) and by the ordinance of the Council of Ministers dated 10. December 2008 regarding public aids given to the entrepreneurs conducting their business activity on the basic of\u00a0 the permit to conduct business within the areas of special economic zones (Journal of Laws No 232, position 1549).<\/li>\n<\/ol>\n

    \u00a0<\/strong><\/p>\n

    2. <\/strong>\u00a0Tendered property comprises of the ownership rights to the 2,7497 ha <\/strong>landed property (free of structures) situated in the province of Lower Silesia, in the trzebnicki district,\u00a0 in the town of Zmigrod, area Zmigr\u00f3d, AM 17, in the Special Economic Sub-Zone for Medium Business and which is owned by the Commune of \u017bmigr\u00f3d and comprises of plot No. 8\/41\/,8\/42, 8\/43, 8\/44, 8\/45 – the land register (Ksiega Wieczysta) No. \u00a0WR1W\/00035982\/1. The ownership rights will be sold by tender pursuant to the law dated 21 August 1997 regarding the property management (Journal of Laws 2004 No 261, position 2603 with further amendments).\u00a0 The rights to the property are unencumbered and free of any rights and obligations in favor of any third parties, except encumbrance mentioned\u00a0 hereunder.<\/p>\n

    3. The calling price for the Property has been set at\u00a0576.036,00 PLN<\/strong>. This is a net price and the VAT\u00a0 should be added to it.<\/p>\n

    4. Minimum for the tender bidding amounts to: <\/strong>1 percent over the calling, i.e. PLN 5.760,03<\/strong><\/p>\n

    5. Taking part in the tender is conditioned by the following:<\/p>\n

    – purchasing from the Special Economic Zone for Medium Business Inc the \u201cSpecification of the essential<\/p>\n

    conditions of the joint tender\u201d,<\/p>\n

    – paying the deposit,<\/p>\n

    – making of a written offer containing conditions of the intended enterprise within the zone.<\/p>\n

    6. The pecuniary value of the deposit amounts to 10 percent of the net calling price, i.e. PLN 57.603, 60 <\/strong>\u00a0and is payable not later than 27 October 2010 <\/strong>to the bank account of Special Economic Zone for Medium Business.The details concerning the amount, the form, the term of the deposit payment as well as the circumstances of its forfeit are defined within the \u201cSpecification of the essential conditions of the joint tender\u201d<\/p>\n

    7. The \u201cSpecification of the essential conditions of the joint tender\u201d can be obtained in the seat of \u00a0the Special Economic Zone every weekday from 8:00 a.m. to 3:30 p.m. after presenting the receipt of the amount of 10.000,00 PLN net plus 22% VAT (in words: ten thousand zlotys net) being paid into the account of SSEMP S.A. conducted in the Bank Zachodni WBK S.A, account no. 02 1090 1942 0000 0005 1800 9564. No additional tender conditions besides those described in the hereto invitation to tender and in the Specification has been envisaged<\/p>\n

    8. The description of the property:, the plot is undeveloped, located in \u017bmigr\u00f3d, Ko\u015bciuszki- street, in the direct nearness of the road No 5 (Wroc\u0142aw- Pozna\u0144)\u00a0 The Property is located in the area\u00a0 in the past used as the rettery. According to the local spatial development plan, the property is located in the area designated for production, facilities, storages, warehouses and services with symbol 5 P\/U. on the plot nr 8\/42 I 8\/45 is located the archeological\u00a0 stand (No. 5\/152), Cross the plots runs non-extendible building lines.<\/p>\n

    9.\u00a0 Any economic endeavours to be taken within Kamienna Gora Special Economic Zone and described in the\u00a0 tender \u00a0offers are to be apprised pursuant to section 11 of the ordinance of the Minister of Economics and Labour \u00a0\u00a0dated 15 November 2004 regarding tenders and negotiations and the appraisal criteria of the intentions regarding the economic endeavours that are to be undertaken within the area of Kamienna Gora Special Economic Zone (Journal of Laws No 254, position\u00a02539 with further amendments).<\/p>\n

    10. The written offers should be submitted in sealed envelopes at the head offices of the Special Economic Zone for Medium Business (at the Secretary\u2019s Office) in Kamienna G\u00f3ra, ul. Papie\u017ca Jana II 11 A, by the 27. October 2010<\/strong>, till 3:00 p.m. The tendering\u00a0 procedure has been set in the Specification.<\/p>\n

    11. The opening of the tenders is going to take place at the head offices of Special Economic Zone for Medium Business on 3 November 2010<\/strong> at 12:00 noon.<\/strong><\/p>\n

    12. In case of the winning, entrepreneur refrains from entering into a sake purchase agreement, the deposit shall not be returned.<\/p>\n

    13. Either the Management of Kamienna Gora Special Economic Zone for Medium Business or the Mayor of the \u017bmigr\u00f3d Commune can cancel the tender not choosing any offers or declare the tender null and void in case of serious reasons to do so. In such a case an appropriate information will be issued to public giving the reason for the tender for having cancelled the tender. In such a case the deposit shall be returned.<\/p>\n

    14. The Management of Kamienna Gora Special Economic Zone for Medium Business can declare the tender null \u00a0\u00a0and void in case when there has been a substantial change in\u00a0 circumstances that do not allow to proceed due to public interest that could not have been envisaged earlier or in case when the procedure has been encumbered with a fault not permitting the issuance of the Permit or enter into sale and purchase agreement for the said Property. All the parties shall be notified in writing by the Management regarding the cancellation of the tender giving factual and legal justification.<\/p>\n

    15. \u00a0Regarding Property, the pre-emption rights regarding the property ownership rights belongs to: Special Economic Zone for Medium Business \u2013 pursuant to article 8 section 2 of the law dated 20 October 1994 regarding the special economic zones (consolidated text of 2007 Journal of Laws No 42, position 274). The pre-emption rights can by only executed within one month from the day of notification regarding the preliminary sale \u2013 purchase agreement to the ownership rights to the Property.<\/p>\n

    16.Within a 6-week <\/strong>date established by the announcement made by the Mayor of the \u017bmigr\u00f3d \u00a0Commune regarding the list of the properties put on sale that pertain to the said announcement, no applications have been received from any person who has the pre-emption rights to purchase such a Property pursuant to article 34, section 1 point 1 and 2 of the law regarding the property management (consolidated text of 2004, Journal of Laws No 261, position 2603 with further amendments).<\/p>\n
